1. Agreement to Terms

By accessing or using Studio Novo's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

Studio Novo provides AI-powered video production services, including but not limited to:

• Short-form video ads for social media platforms
• Brand commercials and promotional videos
• Landing page videos and explainer content
• Course introduction videos and educational content
• Custom video projects as agreed upon

Standard delivery time is 72 hours from project kickoff. Rush delivery options are available for an additional fee.

3. Payment Terms

All payments are processed securely through Stripe. By purchasing our services, you agree to:

• Pay the full amount at the time of purchase
• Provide accurate and complete payment information
• Pay any applicable taxes or fees
• Authorize Studio Novo to charge your payment method

Prices are listed in CAD and are subject to change. The price you pay is the price displayed at the time of purchase.

Each video package includes one free comprehensive revision:

• Included Revision: One round of changes where you can provide all feedback at once
• Revision Scope: Changes to script, visuals, pacing, music, voiceover, and other elements
• Revision Timeline: Revisions are typically completed within 48 hours
• Additional Revisions: Available for purchase at $175 per revision round
• Major Changes: Significant scope changes may require additional fees

To ensure efficient revisions, please consolidate all feedback into a single comprehensive list during your included revision.

6. Client Responsibilities

To ensure timely delivery, you agree to:

• Provide clear project requirements and creative direction
• Supply all necessary materials (logos, brand assets, product images) within 24 hours of purchase
• Respond to revision requests and feedback within reasonable timeframes
• Ensure you have rights to all materials you provide
• Review deliverables promptly and provide consolidated feedback

Delays in providing materials or feedback may extend delivery timelines. Studio Novo is not responsible for delays caused by client inaction.

7. Intellectual Property Rights

Your Content: You retain all rights to materials you provide (logos, images, brand assets). You grant Studio Novo a license to use these materials solely for creating your video.

Final Deliverables: Upon full payment, you receive full commercial rights to use the final video for your business purposes. Studio Novo retains the right to use the video in our portfolio and marketing materials unless otherwise agreed.

AI-Generated Content: Videos are created using AI tools and licensed stock assets. You receive rights to the final compiled video, but not to individual AI-generated elements or stock assets separately.

8. Prohibited Uses

You may not use our services to create content that:

• Violates any laws or regulations
• Infringes on intellectual property rights of others
• Contains hate speech, discrimination, or harassment
• Promotes illegal activities or violence
• Contains explicit adult content or pornography
• Spreads misinformation or deceptive content
• Violates platform policies of intended distribution channels

Studio Novo reserves the right to refuse service or cancel projects that violate these terms.

9. Limitation of Liability

To the maximum extent permitted by law:

• Studio Novo is not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid for the specific service
• We are not responsible for results, conversions, or business outcomes from using our videos
• We do not guarantee specific performance metrics or ROI
• We are not liable for platform policy violations or content rejections

10. Warranties and Disclaimers

Our services are provided "as is" without warranties of any kind. We do not warrant that:

• Services will be uninterrupted or error-free
• Videos will achieve specific business results
• AI-generated content will be completely unique or original
• Videos will comply with all platform policies (though we make reasonable efforts)

11. Cancellation Policy

Before Work Begins: You may cancel within 24 hours of purchase for a full refund if no work has commenced.

After Work Begins: Once we've started production, cancellations are not eligible for refunds. You will receive all work completed up to the cancellation point.

Studio Novo Cancellation: We reserve the right to cancel projects that violate our terms or are not feasible. In such cases, a full refund will be provided.

12. Confidentiality

We treat your project information and business details as confidential. We will not share your information with third parties except as necessary to provide our services or as required by law. If you require a formal NDA, please contact us before starting your project.

13. Dispute Resolution

If you have concerns about our services:

2. We will work with you through our revision process to address concerns
3. If unresolved, disputes will be settled through binding arbitration in accordance with Canadian law

14. Changes to Terms

We may update these Terms of Service at any time. Material changes will be communicated via email or website notice. Your continued use of our services after changes constitutes acceptance of the updated terms. The "Last Updated" date at the top indicates when changes were last made.

15. Governing Law

These Terms of Service are governed by the laws of Canada. Any disputes arising from these terms or our services will be resolved in Canadian courts.
